Samsudin quits as Seloga Holdings director in boardroom tussle

KUALA LUMPUR: The latest boardroom tussle in SELOGA HOLDINGS BHD [] has seen the resignation of Datuk Samsudin Abu Hassan as director.

The company said on Monday, Feb ''14 that his resignation came into effect on Feb 11. Samsudin was the only executive director remaining on Seloga's board and he was said to be at odds with tycoon Tan Sri Halim Saad who has a combined 26.62% stake in Seloga.

To recap, The Edge FinancialDaily reported on Feb 11 that Seloga's former independent non-executive director Derek Fernandez said he had written to the Securities Commission (SC) and Bursa Malaysia requesting that the regulatory bodies investigate matters brewing in the company.

This was revealed in Fernandez's representation to shareholders after he and three other board members faced a bid to have them removed from their positions. Seloga is primarily involved in CONSTRUCTION [] and property development.

Seloga shareholders, Usaha Citra Sdn Bhd and Zulkefli Zaidi, had earlier sought an extraordinary general meeting (EGM) to remove Fernandez, non-executive chairman Datuk Robert Lim Git Hooi, executive director Datuk Samsudin Abu Hassan and non-executive director Datuk Syed Mohd Amin Syed Jan Aljeffri.

However, the EGM was cancelled just two days before its scheduled date of Jan 31.

On Feb 8, Lim, Fernandez, Lim, Syed Mohd Amin and two other non-executive directors Anuar Adam and Aldillan Anuar resigned from the board.

Seloga said in their resignation letters, the directors concerned were unable to agree with the views of the majority shareholder in many matters which would only impede the growth of the company.
